(hereinafter referred to as “UXD Talks” / “Company”)
This document governs the UX Industry-Fit Course (UXFIC), website usage, events, workshops, assessments, community participation, and related services offered by the Company.

Effective Date

These Terms shall become legally binding and effective upon the earlier of:
(a) Successful payment of the applicable course fee; or(b) Digital acceptance of these Terms during enrollment.
Enrollment confirmation by the Company is administrative in nature and does not affect enforceability.
By enrolling, accessing, participating in, or using UXD Talks platforms or services, the Participant (“Student” / “User”) agrees to be legally bound by these Terms.

1. DEFINITIONS

“Company” means UXD Talks Private Limited.
“Programme” means UX Industry-Fit Course (UXFIC).
“Student” means any enrolled individual.
“User” includes website visitors, event attendees, workshop participants, speakers, contributors, community members, applicants, assessment participants, and any person interacting with UXD Talks platforms or services.
“Materials” include all course content, recordings, templates, frameworks, tools, branding elements, methodologies, documents, intellectual property, event recordings, media assets, workshop materials, stage visuals, presentations, and digital content.
“Scheduled Live Sessions” means the total number of live instructional sessions officially announced for the enrolled batch at commencement. Additional bonus sessions shall not alter refund calculations.

1A. WEBSITE & PLATFORM APPLICABILITY

These Terms apply to:
  • UXD Talks websites and digital platforms
  • Courses and educational programs
  • Workshops and bootcamps
  • Online and offline events
  • Aptitude tests and assessments
  • Community groups and networking spaces
  • Speaker and contributor participation
  • Event registrations
  • Media content and recordings
  • Newsletters and communications
  • All related services operated by UXD Talks

1B. ACCEPTABLE USE POLICY

Users shall not:
  • Attempt unauthorized access to systems or accounts
  • Circumvent platform security measures
  • Introduce malware, malicious code, or harmful software
  • Scrape, crawl, or extract platform data without authorization
  • Use bots or automated systems unlawfully
  • Impersonate another person or entity
  • Abuse, harass, threaten, or defame others
  • Engage in spam or fraudulent activity
  • Reverse engineer proprietary systems or materials
  • Use UXD Talks platforms for unlawful purposes
  • Commercially exploit platform content without authorization
Violation may result in suspension, termination, legal action, or restriction of access without refund.

2. ENROLLMENT & ELIGIBILITY

Enrollment is confirmed upon:
  • Full payment of applicable fee
  • Acceptance of these Terms
  • Submission of required documents
The Company may reject or cancel admission if false or misleading information is discovered.

3. COURSE STRUCTURE

The Programme is delivered online.
Sessions may be conducted on platforms chosen by the Company.
Recording availability is not guaranteed in cases of technical issues or force majeure.
The Company may modify content, faculty, schedule, structure, or delivery format, provided core Programme value is not materially deprived.

3A. EVENTS, WORKSHOPS & COMMUNITY PROGRAMS

UXD Talks may conduct workshops, webinars, meetups, networking sessions, conferences, assessments, and community activities in online, offline, or hybrid formats.
The Company reserves the right to:
  • Modify schedules
  • Change speakers or mentors
  • Alter event formats
  • Change venues or digital platforms
  • Cancel or reschedule events
  • Restrict participation where reasonably necessary
Participation in networking or community activities does not guarantee professional outcomes, collaborations, business opportunities, or employment.
Users must comply with event conduct requirements, venue rules, security procedures, and operational instructions.
UXD Talks may remove participants engaging in disruptive, unsafe, unlawful, abusive, discriminatory, or inappropriate conduct without refund.

4. ACCESS RIGHTS

1:1 Guidance access: Up to one (1) year, subject to availability.
“Lifetime Access” applies only for as long as the Company operates such services.
Access is non-transferable, revocable, and conditional upon compliance.
Ancillary benefits may be modified or discontinued without materially affecting core access.

4A. DIGITAL ACCESS & ACCOUNT SECURITY

Access credentials are personal and confidential.
Users are responsible for maintaining the security of their accounts, passwords, devices, and login credentials.
Credential sharing, unauthorized account access, or misuse of platform access is prohibited.
Digital access may be subject to:
  • Device restrictions
  • Streaming-only access
  • Time-limited availability
  • Technical limitations
  • Platform availability
Downloads, copying, redistribution, or unauthorized storage of Materials is prohibited unless expressly permitted.
Users must immediately notify UXD Talks regarding suspected unauthorized access or security breaches.

5. FEES & PAYMENT

Standard course fee: ₹50,000 (inclusive of GST), unless revised.
Discounts may be offered at Company discretion.
Discounts are time-bound, seat-limited, non-transferable, and discretionary.
Applicable fee = amount actually invoiced and paid.
No refund or adjustment shall be granted if subsequent promotional pricing is offered.
Refunds are calculated based solely on the actual amount paid after discount.
Enrollment is valid only upon successful receipt of full payment.

5A. PAYMENT GATEWAY & TRANSACTION DISCLAIMER

Payments may be processed through third-party payment gateways, banks, or payment service providers.
UXD Talks shall not be liable for:
  • Payment gateway downtime
  • Banking delays
  • Transaction failures
  • Duplicate charges caused by banking systems
  • Technical interruptions beyond reasonable control
Users are responsible for verifying successful payment completion.
In case of duplicate or failed transactions, users must contact support with relevant payment proof for verification and resolution.

6. REFUND POLICY

Refund request must be submitted in writing within seven (7) calendar days from first scheduled live session.
No refund shall be granted:
  • After 50% of sessions are completed
  • After certification issuance
  • After course completion
  • If 50% or more recordings/resources are accessed
  • In case of termination for misconduct
Refund Calculation:
Total Course Fee = Actual amount paid.
Refund Amount = Total Course Fee – (Per Session Cost × Sessions Consumed) – Mandatory Deductions
Per Session Cost = Total Course Fee ÷ Scheduled Live Sessions.
Sessions Consumed include:
  • Live attendance (partial or full)
  • Recording access
  • Sessions marked present
  • Any session where access was granted
Mandatory Non-Refundable Deductions:
  • GST remitted
  • Payment gateway charges
  • ₹2,500 administrative fee
  • Banking charges
Attendance logs, access records, analytics reports, and system data maintained by the Company shall constitute valid and binding evidence of session consumption unless proven otherwise.
Refund determination shall be made strictly in accordance with these Terms.
Approved refunds shall be processed within 15–21 working days.

7. BATCH TRANSFER

Transfer requests must be made within seven (7) days of batch commencement.
Fee: ₹2,500.
Subject to availability and Company discretion.

8. CERTIFICATION

Certification requires:
  • 75% attendance
  • Assignment completion
  • Final project submission
  • Full fee clearance
  • Conduct compliance
Certification is private and not government-recognized.

8A. APTITUDE TESTS & ASSESSMENTS

UXD Talks may conduct aptitude tests, assignments, evaluations, interviews, quizzes, or assessments as part of its services.
Users shall not:
  • Cheat or engage in unfair practices
  • Impersonate another individual
  • Manipulate assessment systems
  • Use unauthorized assistance
  • Disrupt assessment integrity
UXD Talks reserves the right to invalidate results, disqualify participants, suspend access, or restrict participation in cases of suspected misconduct.
Technical interruptions, connectivity failures, or platform issues may affect assessment availability or performance.
Assessment outcomes are indicative in nature and do not guarantee admissions, certifications, employment, or opportunities.

9. PLACEMENT DISCLAIMER

The Programme does not guarantee employment, interviews, salary, or placement outcomes.
Company references are illustrative only and do not imply partnership or endorsement.

9.1 Nature of Placement Assistance

Placement Assistance under the UX Industry-Fit Course (UXFIC) is a facilitative, value-added support service and does not constitute:
  • A guarantee of employment
  • A guarantee of interviews
  • A guarantee of salary or compensation
  • A promise of job offers
  • A recruitment service
  • An employment contract
UXD Talks acts solely as a facilitator and not as an employer, recruiter, or placement agency.

9.2 Scope of Placement Assistance

Subject to eligibility and availability, Placement Assistance may include:
  • Addition of eligible student profiles to selected job portals or internal candidate databases
  • Sharing of job opportunities through official UXD Talks community groups, mailing lists, or communication channels
  • Resume review and structured feedback sessions (additional charges may apply)
  • Interview preparation sessions (additional charges may apply)
  • Mock interviews for shortlisted candidates (additional charges may apply)
All additional services are optional, subject to separate payment, scheduling availability, and mentor discretion.
UXD Talks does not guarantee frequency, volume, or suitability of job opportunities shared.

9.3 Eligibility Conditions

Placement Assistance may be provided only to students who:
  • Successfully complete the Programme
  • Meet certification criteria
  • Maintain satisfactory academic performance and conduct
  • Clear all outstanding dues
  • Submit required placement documentation
Failure to maintain professional conduct or academic standards may result in denial or suspension of Placement Assistance without refund.

9.4 Third-Party Recruiter Disclaimer

Job opportunities may be sourced from third-party recruiters, companies, job portals, or industry networks.
Recruiters operate independently and retain sole discretion regarding:
  • Shortlisting decisions
  • Interview scheduling
  • Offer issuance
  • Compensation terms
  • Employment continuation or termination
UXD Talks shall not be liable for:
  • Rejection or non-shortlisting
  • Delay in recruitment processes
  • Salary disputes
  • Employment termination
  • Recruiter misconduct
  • Misrepresentation by third parties

9.5 Data Sharing for Placement

Personal data shall be shared with recruiters only upon explicit, purpose-specific consent in accordance with the applicable Privacy Policy.
Recruiters shall act as independent Data Fiduciaries for subsequent processing.
UXD Talks shall not be responsible for independent data processing undertaken by recruiters beyond the scope of shared consent.

9.6 No Refund on Placement Grounds

No refund shall be granted on the grounds of:
  • Failure to secure interviews
  • Failure to obtain employment
  • Dissatisfaction with salary or job role
  • Delay in placement opportunities
  • Rejection by recruiters
Placement Assistance is facilitative and not outcome-based.

9.7 Modification or Discontinuation

UXD Talks reserves the right to modify, restructure, suspend, or discontinue Placement Assistance services at its discretion, provided that core Programme delivery remains unaffected.
Such modification shall not constitute breach of contract or give rise to refund claims.

10. INTELLECTUAL PROPERTY

All Materials remain exclusive property of UXD Talks under Indian IP laws.
Students receive a limited, non-exclusive, revocable license for personal educational use only.
Students retain ownership of original creative outputs but may not disclose proprietary frameworks.
Students grant the Company a perpetual, royalty-free, sublicensable license to use submitted work for marketing and educational purposes.
Event recordings, workshop footage, photographs, livestreams, presentations, stage visuals, media assets, branding elements, and platform content remain protected intellectual property of UXD Talks or respective rights holders.

10A. AI & COMPETITIVE RESTRICTION

Students shall not:
  • Train AI systems using Programme materials
  • Replicate curriculum commercially
  • Create competing training products using Company methodology
For 24 months post-completion, commercial reproduction of proprietary curriculum structure is prohibited.

10B. USER-GENERATED CONTENT

Users may voluntarily submit comments, reviews, portfolios, feedback, testimonials, stories, discussions, media, applications, or other content.
Users remain solely responsible for the legality, ownership, accuracy, and rights associated with submitted content.
Users shall not submit content that:
  • Infringes intellectual property
  • Violates confidentiality obligations
  • Contains unlawful, defamatory, abusive, discriminatory, or misleading material
  • Violates rights of third parties
UXD Talks reserves the right to moderate, remove, restrict, archive, reproduce, publish, or refuse content at its discretion.

11. CONFIDENTIALITY & CONDUCT

Students shall not record, redistribute, resell, or exploit Materials.
Zero tolerance for harassment, discrimination, defamation, or IP theft.
Violation may result in suspension or termination without refund.

11A. COMMUNITY & NETWORKING DISCLAIMER

Community groups, networking spaces, online forums, messaging groups, or collaboration channels operated by UXD Talks are facilitative in nature.
UXD Talks does not guarantee:
  • Collaborations
  • Partnerships
  • Employment
  • Business opportunities
  • Networking outcomes
  • User conduct
Users interact at their own discretion and risk.
UXD Talks reserves the right to moderate, restrict, suspend, or remove users from community spaces where reasonably necessary.

12. MEDIA RELEASE

Students grant a non-exclusive, worldwide license for use of recordings, testimonials, name, likeness, and submitted work for marketing and educational purposes.
Opt-out must be submitted in writing prior to first live session.
Internal recordings are exempt from opt-out.

12A. EVENT RECORDING & PUBLIC MEDIA CONSENT

Events, workshops, webinars, meetups, livestreams, and community activities may be photographed, recorded, streamed, transcribed, archived, reproduced, edited, or publicly distributed.
Participants acknowledge and consent that their participation, likeness, voice, comments, interactions, or submitted content may appear in:
  • Event recordings
  • Social media posts
  • Promotional content
  • Website galleries
  • Educational archives
  • Livestreams
  • Marketing materials
  • Community highlights
Incidental appearance in crowd or background footage may not always be avoidable.

13. DATA & PRIVACY

Data is processed in accordance with applicable Indian laws including the Digital Personal Data Protection Act, 2023.
The Company is not liable for third-party platform breaches beyond reasonable control.
A separate Privacy Policy governs detailed processing.

13A. THIRD-PARTY SERVICES & LINKS

UXD Talks platforms may integrate or contain links to third-party platforms, applications, websites, services, payment gateways, communication tools, video hosting providers, social media platforms, recruiters, or software providers.
Such third-party services are governed by their own terms, privacy policies, and operational practices.
UXD Talks shall not be responsible for external services, third-party content, availability, or actions beyond reasonable control.

14. LIMITATION OF LIABILITY

To the maximum extent permitted by law, total aggregate liability shall not exceed the total course fee actually paid.
The Company shall not be liable for indirect, incidental, special, punitive, or consequential damages.
No liability for:
  • Loss of income
  • Career outcomes
  • Data loss due to third parties
  • Force majeure
  • Student’s failure to implement guidance
The Programme is provided on an “as-is” and “as-available” basis.
Nothing herein excludes liability where prohibited by law.
The Programme does not constitute legal, financial, or professional advice.

14A. NO PARTNERSHIP

Nothing creates partnership, employment, agency, or joint venture.

14B. WEBSITE & CONTENT DISCLAIMER

Website content, community content, educational resources, event information, assessments, newsletters, public materials, and informational content are provided for general informational and educational purposes only.
UXD Talks does not warrant that:
  • Content will always be accurate or complete
  • Services will be uninterrupted
  • Platforms will remain error-free
  • Information will remain continuously updated
Users rely on such information at their own discretion and risk.

14C. SERVICE AVAILABILITY & TECHNICAL INTERRUPTIONS

UXD Talks does not guarantee uninterrupted availability of websites, platforms, recordings, events, assessments, livestreams, or digital services.
Services may be affected by:
  • Maintenance
  • Technical failures
  • Connectivity disruptions
  • Third-party platform outages
  • Infrastructure limitations
  • Security incidents
  • Force majeure events
The Company may suspend, restrict, modify, or discontinue services where reasonably necessary.

15. FORCE MAJEURE

No liability for delays caused by events beyond reasonable control.

16. TERMINATION & SUSPENSION

The Company may suspend or terminate access for misconduct, fraud, reputational harm, or violation of Terms.
Suspension pending investigation shall not entitle Student to refund.

16A. INDEMNIFICATION

Student shall indemnify and hold harmless UXD Talks, its directors, officers, employees, and affiliates from claims arising out of:
  • Violation of these Terms
  • IP infringement
  • Misuse of Materials
  • Unlawful conduct
  • Regulatory penalties caused by Student
  • Third-party claims from submitted content
This obligation survives termination, expiration, suspension, or completion without limitation.

17. DISPUTE RESOLUTION

Disputes shall be resolved through arbitration in Gaya, Bihar under the Arbitration and Conciliation Act, 1996.
Award is final and binding.
Courts at Gaya shall have jurisdiction for interim relief or enforcement.
Governing Law: Laws of India.

18. ELECTRONIC COMMUNICATION

Official communications sent to registered email/contact shall be deemed legally delivered.
Electronic acceptance constitutes valid consent.

19. SEVERABILITY

Invalid provisions shall not affect remaining enforceability.

20. ENTIRE AGREEMENT & NON-RELIANCE

These Terms constitute the entire agreement and supersede all prior advertisements, representations, marketing materials, webinar statements, counselor communications, or verbal assurances.
The Student confirms that no reliance has been placed on any statement not expressly contained in these Terms.

21. NOTICE

Legal notices shall be deemed valid if sent to the registered email or contact provided during enrollment.
Failure to update contact details does not invalidate delivery.

22. MODIFICATION OF SERVICES & TERMS

UXD Talks reserves the right to modify, restructure, suspend, discontinue, improve, or update any aspect of its platforms, services, programmes, events, workshops, assessments, community initiatives, or operational systems.
Updated Terms may be published on official platforms and continued usage after such publication constitutes acceptance of revised Terms unless otherwise stated.
